Paramount Delays Warner Bros Discovery Merger Due to Lawsuit

Paramount on Friday consented to postpone the closure of its $81 billion acquisition of Warner Bros Discovery until well into the next year, as a judge remains deliberative regarding a challenge from 12 states aiming to obstruct the transaction entirely. In a court filing, Paramount indicated that it would refrain from finalising the merger until a judicial decision is rendered regarding the substantive issues of the states’ lawsuit or until June 1, 2027. The action comes shortly after US District Judge Araceli Martinez-Olguin issued a temporary restraining order to halt the transaction for a few weeks, determining that the states had presented some “serious questions” and a compelling case regarding the merger’s potential to “substantially lessen competition.”

Paramount characterised Friday’s agreement as a “significant win because the result is exactly what we have sought from the outset: a direct path to a trial based on the evidence.” The company, acquired by Skydance only last year, stated that this was the “fastest and clearest way” to demonstrate that its merger was beneficial for competition and the broader industry. Twelve states, spearheaded by California, initiated legal action last month to prevent Paramount’s acquisition of Warner, contending that this merger would “extinguish competition” in Hollywood and result in diminished options for consumers, especially for moviegoers and cable subscribers.

“From the workers and artists who bring stories to life to the families who buy tickets at the box office, Paramount’s illegal takeover of Warner Bros. is a bad deal for all those who count on a competitive entertainment industry,” New York Attorney General Letitia James, who is among those suing to block the merger, said Friday. She referred to the agreement to halt the deal as a “critical victory.”
