US regulators will accept Paramount’s Warner Bros. purchase

US antitrust regulators seem poised to greenlight Paramount’s $110 billion acquisition of Warner Bros. Discovery followed a two-hour meeting at the Justice Department, as reported by Semafor on Tuesday, referencing sources with knowledge of the situation. At the meeting, Paramount CEO David Ellison reaffirmed a commitment to theatrical movie releases, according to the report. According to the report, the staff solicitors at the Department of Justice appeared to be influenced by the assertions made by senior Paramount executives that the transaction would not adversely affect other studios or creative professionals.

Hollywood and Wall Street are closely monitoring the high-stakes deal, which aims to unite some of the entertainment industry’s most iconic franchises, though it may have adverse effects on employment within the film and television sectors. The DOJ in March issued subpoenas as part of its investigation into Paramount’s acquisition of Warner Bros., requesting information regarding the potential impact of the deal on studio output, content rights, competition among streaming services, and the implications for movie theatres. Leading figures in Hollywood have likewise expressed their opposition to the merger.

Jane Fonda, JJ Abrams, and Mark Ruffalo are part of the nearly 3,500 signatories to a letter asserting that the merger would result in diminished opportunities for creators, job losses, and increased costs for consumers. Paramount has made a concerted effort to secure the deal from Netflix and is focused on expediting its closure. The company has committed to compensating Warner Bros. shareholders with a quarterly ticking fee of 25 cents per share beginning in October, should the deal remain unfinalized by that time.
